Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the PrivePas platform ("Service") operated by PrivePas ("we", "us", "our"). By creating an account or using any part of the Service, you agree to these Terms.

PrivePas provides a web-based event security and invitation management platform. The Service includes:

• QR-coded personalised invitation card generation
• Guest list creation, import, and management
• Real-time event check-in monitoring
• Security staff access management
• Event analytics and reporting
• Planner subscription plans for multi-event management

Eligibility: You must be at least 18 years old to create an account. By registering, you represent that you meet this requirement.

Account Security: You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorised access to your account.

Accurate Information: You agree to provide accurate and current information when registering and to keep it updated.

One Account per User: Each user may maintain only one account. Creating multiple accounts to circumvent restrictions is prohibited.

Single Event Purchases: Single-event access is a one-time, non-refundable payment. Fees are based on your declared guest count tier at the time of purchase.

Planner Subscriptions: Monthly planner subscriptions (Ember, Flare, Sovereign) are billed in advance. Subscriptions are non-refundable once the billing period begins.

Payment Processing: All payments are processed by Paystack. By making a payment, you agree to Paystack's terms of service. PrivePas does not store payment card details.

Pricing Changes: We reserve the right to change our pricing. Price changes will be communicated at least 14 days in advance via email.

Failed Payments: If a payment fails, access to the Service may be suspended until the payment is resolved.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Generate invitations for events intended to cause harm, breach the peace, or violate any law
• Attempt to reverse-engineer, decompile, or circumvent security measures
• Resell, sublicense, or redistribute the Service or generated materials without permission
• Upload malicious files, scripts, or content designed to harm the platform or other users
• Impersonate another person or organisation
• Spam guests with unauthorised communications using guest data obtained through our platform
• Abuse the QR scanning feature to disrupt legitimate events

When you upload or enter guest lists, you represent that you have the necessary rights to share that personal data with PrivePas and that you have informed your guests about how their data will be used.

You are the data controller for your guests' personal information. PrivePas acts as a data processor on your behalf. You are responsible for complying with applicable data protection laws with respect to your guests' data.

Guest names and invitation tokens are stored securely and used solely to provide the Service. Guest data is not shared with third parties beyond what is described in our Privacy Policy.

Our IP: The PrivePas platform, including its code, design, branding, and documentation, is owned by PrivePas and protected by intellectual property laws. You may not copy, reproduce, or create derivative works.

Your Content: You retain ownership of card templates and content you upload. By uploading content, you grant PrivePas a limited licence to use it solely to provide the Service (e.g. rendering your cards).

Generated Cards: Invitation cards generated by the platform using your templates and guest data are owned by you, the event organiser.

We aim for high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, updates, or unforeseen outages. We will endeavour to notify users of planned downtime in advance.

To the maximum extent permitted by applicable law:

• PrivePas is provided "as is" without warranties of any kind, express or implied
• We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service
• Our total liability for any claim shall not exceed the amount you paid to PrivePas in the 3 months preceding the claim
• We are not responsible for the conduct of event attendees, security staff, or other third parties

You agree to indemnify and hold PrivePas and its officers harmless from any claims, damages, liabilities, and costs (including legal fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

By You: You may close your account at any time by contacting us. Closing your account does not entitle you to a refund of any prepaid fees.

By Us: We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. In cases of serious breach, no refund will be issued.

We reserve the right to modify these Terms at any time. We will notify registered users by email of material changes at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.
